Veterans and Security Expertise Adding New CFO, Executive Vice President of
Sales and Vice President of OEM and Alliances

San Francisco—April 21, 2006 - Workshare today announced the appointment of three new executives to its management team with Thomas C. Hoster as executive vice president and chief financial officer; Michael Carey, executive vice president of sales, Americas and worldwide business partners; and Brian Spector, vice president OEM and alliances. These new appointments underscore Workshare’s recent record momentum and demonstrate the company’s continued success in attracting world-class talent.

Tom Hoster brings to Workshare a broad track record of demonstrated corporate financial and operational leadership, having served at a number of corporations including Seven Networks, @Road, Octel Communications Corporation and Chemical Bank. While at Seven Networks, Hoster led the financial aspects of an acquisition of a key European competitor. As CFO of @Road, he was instrumental in growing the business from $1 million to more than $70million per year and led the company’s successful initial public offering. Tom also held treasurer, director of sales administration and general manager of capital financing roles at Octel from ‘89-‘96, before it was purchased by Lucent. Workshare will capitalize on his expertise in expanding subscription business models and strengthening financial operations.

Michael Carey is a proven expert in selling software solutions to large scale corporations and government agencies, as well as small and medium business enterprises. Most recently at Symantec as vice president Americas sales and services, Carey had full profit and loss responsibilities in the Americas region for the $170 million enterprise administration business unit. He previously led sales for On Technology (acquired by Symantec) and Novadigm (acquired by HP), and helped take MKS public. Michael’s career has focused on building broad reseller, OEM and strategic alliances to accelerate market reach and growth. As executive vice president sales, Americas and worldwide business partners, Carey will be dedicated to building Workshare’s customer base and partnerships.

Brian Spector joins Workshare from nCipher, a public UK security software company where he ran business development and established revenue-bearing relationships with Microsoft, Adobe and ActiveIndentity, among others. At nCipher, Spector was responsible for creating and driving revenue via OEM and alliance partners. Previously, Spector held various OEM, alliance and inside sales management roles was at Sana Security, Mobilsys, RSA Security Inc and McAfee. Spector has been focused on the security industry since the start of his career in 1992. As vice president of OEM and alliances for Workshare, Spector will use his seasoned expertise to further establish high-profile partnerships to develop new markets for the company.
